Public Offer Agreement of RecoilCoder.

1. General Provisions.

1.1. This Public Offer (hereinafter — the Offer) is the official proposal by RecoilCoder (hereinafter — the Seller) to conclude a purchase and sale agreement for digital goods (hereinafter — the Goods) under the terms set forth in this document.

1.2. The Offer is addressed to any individual or legal entity (hereinafter — the Buyer) who wishes to purchase Goods on the website recoil-coder.com.

1.3. Acceptance (full and unconditional agreement) of the Offer is the Buyer’s placement and payment of an Order. From the moment of acceptance, the purchase and sale agreement is considered concluded.

1.4. The Seller reserves the right to change the terms of the Offer. The new edition comes into force from the moment of its publication on the Site. Continued use of the Site after changes means agreement with the new version.

2. Subject of the Agreement.

2.1. The Seller undertakes to transfer ownership of a digital good (an intangible object delivered electronically) to the Buyer, and the Buyer undertakes to accept and pay for it.

2.2. The assortment, characteristics, and price of the Goods are determined on the Site at the time of Order placement.

3. Order Placement Procedure.

3.1. The Order is placed by the Buyer independently through the Site interface.

3.2. The Buyer bears full responsibility for the accuracy of the provided data (e-mail). The Seller is not liable for the consequences of providing incorrect data.

3.3. The agreement is considered concluded from the moment the Buyer receives an electronic notification of successful payment.

4. Price and Payment Procedure.

4.1. The cost of the Goods is indicated on the Site in Russian rubles.

4.2. The price may be changed by the Seller unilaterally without prior notice.

4.3. Payment is made by methods available on the Site (bank cards, e-wallets, etc.).

4.4. The Buyer’s payment obligation is considered fulfilled from the moment funds are credited to the Seller’s payment aggregator.

5. Delivery and Transfer of Goods.

5.1. The digital good is provided to the Buyer in the form of a download link or access to a personal account/archive, sent to the e-mail specified during Order placement.

5.2. Delivery is instant after payment confirmation, unless otherwise specified in the description of a specific Good.

5.3. The Seller is not responsible for delivery delays caused by technical failures on the part of payment systems, mail services, or the Buyer’s internet provider.

6. Return and Exchange of Goods.

6.1. Since the Good is digital and provided instantly, a refund for a Good of proper quality after access has been granted is not possible.

6.2. Return or exchange is possible only in case of:

- non-conformity of the Good with its description on the Site;

- presence of irreparable technical defects that prevent using the Good for its intended purpose.

6.3. A return request must be sent to the Seller within 24 hours from the moment of purchase, with supporting evidence (video).

6.4. The following Goods are not subject to return:

- incompatibility with the Buyer’s hardware or software;

- blocking of access to the Good by third parties (for example, by a platform for which the software is intended);

- if access to the Good was provided fully and correctly according to its description.

7. Rights to Intellectual Property.

7.1. All rights to the Goods, including copyrights, belong to the Seller.

7.2. The Buyer acquires the right to use the Goods exclusively for personal, non-commercial purposes, unless otherwise provided by a license. Copying, distribution, modification, or resale of the Goods without written consent from the Seller is prohibited.

8. Limitation of Liability.

8.1. The Seller is not liable for any direct or indirect losses incurred by the Buyer as a result of using or being unable to use the Goods if these losses are caused by actions of the Buyer, third parties, or force majeure circumstances.

8.2. The Seller guarantees compatibility of the Goods only with those devices and software specified in its description on the Site.

9. Confidentiality and Personal Data.

9.1. The processing of Buyers’ personal data is governed by the Privacy Policy posted on the Site.

9.2. The Seller undertakes not to disclose data received from the Buyer to third parties, except as required by Russian Federation legislation or necessary for contract performance (for example, transferring data to payment systems).

11. Applicable Law and Dispute Resolution.

11.1. Relations between the parties are governed by the legislation of the Russian Federation.

11.2. All disputes and disagreements shall be resolved through negotiations. If an agreement cannot be reached — in Arbitration Court at the location of the Seller.
